1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your use of products and services provided by CallX, Inc. (“CallX,” “we,” “our,” or “us”), including our website, platform, software, call routing tools, call tracking services, AI features, communication tools, and related applications (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding agreement. Users accessing the platform on behalf of a company represent that they have the authority to bind the organization.

3. Account Registration
To use certain features, you must create an account with accurate and complete information. You are responsible for:
• Maintaining the confidentiality of your credentials
• All activity under your account
• Notifying CallX immediately of unauthorized access or breaches

CallX may suspend or terminate accounts for violations of these Terms.

4. Use of Services
You agree to use the Services only for lawful purposes and in compliance with:
• TCPA, FCC, CMS (if applicable), and other federal regulations
• State calling, recording, and privacy laws
• Industry guidelines

Prohibited actions include unauthorized system access, misuse of call routing tools, introduction of malicious code, interference with platform operations, or attempting to reverse engineer CallX technology.

5. Call Recording & Monitoring
CallX may provide features enabling call recording, monitoring, transcription, and AI analysis.
You acknowledge that:
• Call recording laws vary by jurisdiction
• You are solely responsible for obtaining any legally required consent from callers or agents
• CallX is not responsible for compliance failures related to your call-handling practices


6. Fees & Billing
Use of the Services may require payment of subscription fees, usage-based fees, call costs, or other charges. You agree that:
• Fees are billed per your selected plan or written agreement
• All payments are non-refundable unless explicitly stated otherwise
• CallX may suspend or terminate access for nonpayment
• Pricing may change with reasonable notice


7. Data Ownership & License

Your Data
You retain ownership of:
• Call recordings
• Caller information and leads
• CRM data
• Uploaded content

You grant CallX a non-exclusive license to store, process, and use your data as necessary to provide and improve the Services.

CallX Data
CallX retains ownership of:
• Software, source code, algorithms
• AI models, analytics, and scoring systems
• System performance metrics
• Derivative works created through platform operations


8. Shared Ownership and Use Rights to Platform Data
You acknowledge and agree that any data transmitted through, collected by, or generated within the CallX™ platform—including but not limited to call audio, call metadata, transcripts, caller interaction data, routing data, agent activity data, AI-generated insights, analysis results, scoring, and system usage data (collectively, “Platform Data”)—may be used by both You and CallX™.

A. Customer Data
You maintain ownership of your Customer Data (e.g., lead information, CRM information, customer records).
CallX will not sell Customer Data or disclose personally identifiable information except as necessary to provide the Services or comply with legal requirements.

B. Platform Data
Platform Data is jointly usable by You and CallX™, subject to the following rights.

CallX™ may use Platform Data to:
1. Operate, maintain, and enhance the CallX™ platform
2. Train, refine, or improve AI and machine-learning models
3. Develop and expand platform features, analytics, and tools
4. Create anonymized or aggregated datasets for benchmarking
5. Detect fraud, ensure compliance, and maintain system integrity
6. Conduct internal research, testing, and quality assurance
7. Generate non-identifiable performance statistics and insights

Anonymization & Aggregation
CallX™ may anonymize or aggregate Platform Data such that it cannot reasonably identify you, your customers, your agents, or any individual caller.
All anonymized or aggregated datasets are the exclusive property of CallX™.

Derivative Works
Any derivative works, analytics, scoring systems, AI outputs, training models, or insights developed from Platform Data shall be owned exclusively by CallX™.

No Sale of Personal Data
CallX™ does not sell personal data and complies with applicable privacy regulations, including CCPA/CPRA and GDPR where required.

9. AI Features
AI tools such as CallX™ Edge, Pulse, Align, Engage, and Voice provide informational guidance and insights only. CallX does not guarantee accuracy and is not liable for business decisions or outcomes based on AI-generated suggestions.

10. Third-Party Integrations
CallX may integrate with external CRMs, carriers, ad platforms, or third-party APIs.
CallX is not responsible for:
• Third-party outages or failures
• Data errors caused by external systems
• Unauthorized access resulting from your use of third-party integrations


11. Termination
CallX may suspend or terminate your account for nonpayment, suspected misuse, or violations of these Terms.
Sections related to intellectual property, data usage, liability, and indemnification survive termination.

12. Disclaimer of Warranties
The Services are provided “AS IS” and “AS AVAILABLE.”
CallX does not warrant:
• Uninterrupted or error-free operation
• Compatibility with third-party systems
• Specific performance or financial outcomes


13. Limitation of Liability
To the fullest extent permitted by law:
• CallX is not liable for indirect, incidental, punitive, or consequential damages
• CallX’s total liability shall not exceed the amount paid to CallX in the preceding 12 months


14. Indemnification
You agree to defend, indemnify, and hold harmless CallX from claims arising out of:
• Your violation of these Terms
• Your telemarketing, consent, or call-recording practices
• Misuse or unauthorized use of the platform

15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

16. Changes to Terms
CallX may modify these Terms at any time.
Continued use of the Services constitutes acceptance of the revised Terms.
